Nebius Group (NBIS) shares jumped nearly 7% in Tuesday's premarket trading after NVIDIA (NVDA) disclosed a passive stake in the AI cloud infrastructure company. The filing shows NVIDIA now owns 22.26 million Class A ordinary shares, or 9.3% of that class. That includes 1.19 million shares previously reported in NVIDIA's 13F for the quarter ended March 31, 2026, plus 21.07 million shares that could come from a pre-funded warrant acquired on March 11, 2026.
Nebius is a vertically integrated cloud provider focused on AI and high-performance computing. It designs and operates its own data centers and servers across Europe and the U.S., with total capacity in the hundreds of megawatts. Think of it as a company that builds the physical infrastructure for AI workloads—not just software, but the actual servers and data centers.
The warrant has some interesting terms. NVIDIA can't exercise it before September 11, 2026, and it can't sell the underlying shares before that date either. The filing also notes that under SEC beneficial ownership rules, the warrant might be exercisable within 60 days of July 13. So there's a bit of a waiting period, which limits immediate dilution and gives the market time to digest the news.
This disclosure renews focus on NVIDIA's strategic relationship with Nebius, including the $2 billion investment announced back in March. That investment was a big vote of confidence, and this latest filing shows NVIDIA is doubling down—literally, by taking a nearly 10% stake.
Investor sentiment also got a boost from Nebius closing a $775 million senior secured debt facility. That financing helps ease concerns about potential equity dilution as the company continues expanding its AI infrastructure. Instead of issuing more shares to raise cash, Nebius took on debt, which is generally less dilutive for existing shareholders.
From a technical perspective, NBIS is still in a bullish long-term structure. The 50-day simple moving average (SMA) is above the 200-day SMA, and the stock is well above its 200-day SMA ($138.21) and 200-day EMA ($149.29). That's the classic "golden cross" setup that trend followers love. However, the current price of around $195 is trading 13.8% below both the 20-day SMA ($224.72) and the 50-day SMA ($224.58). So the premarket bounce looks like a mean-reversion attempt—a move back toward those shorter-term trend lines after a pullback.
Looking ahead, the next major catalyst is the August 6, 2026 earnings report (estimated). Analysts expect a loss of 73 cents per share, wider than the 38-cent loss a year ago, but revenue is projected to surge to $576.67 million from just $105.10 million. That's a massive revenue jump, reflecting the ramp-up in AI cloud demand. The stock trades at a P/E of 70.5x, which is a premium valuation, but that's not unusual for high-growth AI infrastructure plays.
Analyst consensus is a Buy, with an average price target of $230.45. Recent moves include Northland Capital Markets raising its forecast to $410 (Outperform) on July 20, Freedom Capital Markets upgrading to Buy with a $200 target on the same day, and Bank of America Securities raising to $280 (Buy) on June 8. So there's a wide range of opinions, but the overall tone is bullish.
In premarket trading Tuesday, NBIS was up 6.94% at $195.30. The combination of NVIDIA's stake, the debt facility, and the analyst upgrades is creating a lot of positive momentum. But with the stock still below its short-term moving averages, the next few days will tell whether this bounce has legs or if it's just a temporary reprieve.
