Sono Group (SSM), a company that's been playing the Bitcoin treasury game, saw its stock jump nearly 49% after revealing plans to merge with Sports One and dive into the world of professional sports ownership. It's a pivot that could take the company from digital assets to dugouts.

Sports One To Take Control
Here's the deal: Sono Group and Sports One signed a nonbinding letter of intent on Monday. If everything goes through, Sports One shareholders would end up owning a supermajority of the combined company. Sports One's management team would run the show, and the company would likely adopt the Sports One name. So, in essence, this is more of a reverse merger where Sports One takes over the public shell.
What would the new entity do? It plans to acquire and hold minority stakes in NFL, NBA, MLB, and NHL franchises. That's a mouthful of acronyms, but it means they'd be getting a piece of some of the biggest sports teams in the U.S. They'd also run a sports intelligence platform, offering athlete data, social media value scores, and sponsorship valuations. Think of it as a data play for the sports world, with a side of team ownership. Of course, any franchise investment would still need league and team approval, so don't expect them to buy the Yankees overnight.
Investors Buy 19.9% Stake
Alongside the merger announcement, a group of investors bought 283,500 Sono Group shares, which represents 19.9% of the company's outstanding ordinary shares. They paid the market price, no discounts or warrants, and agreed to a 180-day lockup. That's a vote of confidence, or at least a strategic bet. The proceeds will go toward working capital and general corporate purposes, which is a fancy way of saying they'll have some cash to play with.
Deal Remains Preliminary
Now, before you get too excited, remember that this is just a letter of intent. The transaction still needs due diligence, final agreements, regulatory clearance, and shareholder approval. The companies themselves say they can't guarantee the deal will be completed. So, it's a promising development, but not a done deal.
For context, Sono Group currently operates as a digital asset treasury company, focusing on Bitcoin holdings and covered-call income. So, this merger would be a significant shift in strategy, from hodling crypto to owning sports teams. It's an interesting juxtaposition, to say the least.
